PixiKwik Terms & Conditions

Introduction

Welcome to PixiKwik, Inc. (“PixiKwik,” “we,” “our,” or “us”). These Terms & Conditions govern your use of the PixiKwik Platform, Vendor App, and services. By registering as a Vendor, customer, or user on PixiKwik, you agree to comply with these Terms.

These Terms & Conditions include:

  • Vendor Terms & Conditions (Sections 1-10)
  • SMS Terms & Conditions (Sections 11-24)
  • General Platform Policies

By using PixiKwik services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy available at: https://www.pixikwik.info/privacy-policy

PART 1: VENDOR TERMS & CONDITIONS

1. Eligibility & Compliance

Vendors must:

  • Operate a legally registered business in the United States
  • Maintain all required business licenses, seller’s permits, tax registrations, and insurance
  • Submit accurate and truthful information during onboarding
  • Comply with all federal, state, and local laws

PixiKwik may verify information and approve or deny Vendor applications at its discretion.

2. Products & Inventory

Vendors must:

  • Maintain accurate, real-time inventory listings
  • Ensure all products are authentic, safe, unexpired, and eligible for sale
  • Remove discontinued, recalled, or unavailable products immediately
  • Maintain accurate pricing and descriptions

PixiKwik is not liable for vendor product quality or safety issues.

3. Order Fulfillment

Vendors agree to:

  • Accept and prepare orders promptly during posted business hours
  • Package all items securely to avoid damage, spills, contamination, or tampering
  • Cooperate with PixiKwik and authorized Logistics Partners regarding order issues

Repeated fulfillment issues may result in suspension or removal.

4. Delivery & Logistics

  • Delivery is performed by authorized PixiKwik Logistics Partners
  • Orders must be released only to authorized logistics personnel
  • Pickup confirmations must be completed inside the Vendor App
  • Delivery fees are paid by customers and are non-refundable

5. Cancellations, Returns & Refunds

Refund scenarios include:

A. Damaged Items

  • Customer refunded full product cost
  • Vendor reimburses PixiKwik for product cost
  • PixiKwik absorbs pickup fee
  • Stripe/platform fees are non-refundable

B. Unopened / Unused Returns

  • Customer refunded product cost only
  • Delivery fees non-refundable
  • Vendor reimburses PixiKwik for product cost

C. Vendor Error

(incorrect item, missing items, wrong quantity, mis-picks)

Vendor reimburses PixiKwik for:

  • Product cost
  • Outbound delivery fee
  • Return / pickup fee

D. Tampered Packaging & Failure to Deliver Correct Order

If packaging is damaged, unsealed, improperly secured, contaminated, or appears tampered with — or the Vendor fails to provide the correct order — the Vendor is responsible for all additional logistics costs, including:

  • Driver handling fees
  • Supplemental pickup / return fees
  • Re-delivery fees
  • Any operational charges caused by Vendor negligence

All associated fees will be deducted from Vendor payouts.

6. Vendor Conduct

Vendors may not:

  • Circumvent PixiKwik by diverting customers to direct/off-app sales
  • Manipulate pricing, reviews, or inventory
  • Share confidential platform information
  • Engage in fraudulent or harmful behavior

7. Payments & Fees

  • Payments are issued via Stripe Connect (Express Accounts)
  • Vendors must complete Stripe onboarding to receive payouts
  • PixiKwik retains a platform commission per order

Pilot Program (Jan 1, 2026 – Jan 1, 2027)

0% commission for approved pilot Vendors

Standard Commission (Effective Jan 1, 2026)

PixiKwik’s standard commission rate is 15% per order, unless PixiKwik issues a written promotional offer or temporary commission adjustment.

All promotional offers are time-limited and automatically revert back to the standard 15% when the promotional period ends.

This rate remains substantially lower than delivery platforms such as DoorDash, Uber Eats, and Instacart (25%–35%+).

PixiKwik’s retained platform fee is non-refundable.

Commission Increase (Effective May 1, 2026)

Effective May 1, 2026, Vendor Commission will increase to 22%. However, early vendors will be grandfathered in at 15% commission if signed up before May 1, 2026.

8. Data & Privacy

PixiKwik collects operational and transactional data to facilitate orders, improve performance, strengthen Vendor tools, and support analytics.

PixiKwik may use aggregated, anonymized data for:

  • Industry insights
  • Trend analysis
  • AI training
  • Market research
  • Strategic or commercial partnerships

9. Termination

Vendor access may be suspended or terminated for:

  • Violations of these Terms
  • Fraudulent or harmful conduct
  • Repeated operational issues
  • Non-compliance with refund logic

Vendors may close their accounts at any time.

10. General Platform Updates

Terms may be updated periodically. Continued use of the Platform constitutes acceptance of updated Terms. Material changes will be communicated via email or prominent notice on the Platform.

PART 2: SMS TERMS & CONDITIONS

11. SMS Consent Communication

PixiKwik respects your privacy and choice regarding SMS communications. Phone numbers and information obtained as part of our SMS consent process will NOT be shared with third parties or affiliates for marketing purposes. Your consent to receive SMS messages is used exclusively for communications directly related to PixiKwik services.

12. Types of SMS Communications

If you have provided consent to receive text messages from PixiKwik, you may receive messages related to the following categories:

  • Appointment Reminders – Notifications about scheduled visits from PixiKwik representatives
  • Follow-up Messages – Updates after appointments or interactions
  • Billing Inquiries – Payment confirmations and account-related notifications
  • Promotions or Offers – Information about vendor partnerships, incentives, and promotional opportunities

13. Message Frequency

Message frequency may vary depending on the type of communication and your engagement level with PixiKwik services.

Expected frequency:

  • During vendor activation phase: up to 3–5 SMS messages per week
  • Following successful activation: 1–2 SMS messages per month
  • Special announcements: As needed

14. Potential Fees for SMS Messaging

Standard message and data rates may apply to SMS messages you receive from PixiKwik, depending on your wireless carrier’s pricing plan. These fees may vary based on your specific carrier, service plan, and whether the message is sent domestically or internationally. PixiKwik does not charge fees for sending SMS messages, but your carrier may apply charges.

15. Opt-In Methods

Verbal Consent During Phone Call (Primary Method)

When speaking with a PixiKwik representative, consent may be given verbally. The representative will confirm your consent and log it in our system. When providing verbal consent, you will hear or be told the following message:

  • “Do you agree to receive appointment reminders, follow-up messages, and vendor partnership updates from PixiKwik via text? Reply STOP to opt-out; Reply HELP for support; Message and data rates may apply; Messaging frequency may vary. Visit our Privacy Policy at https://www.pixikwik.info/privacy-policy and SMS Terms at https://www.pixikwik.info/terms-and-condition”

Online Form Checkbox (Secondary Method)

When visiting PixiKwik’s website or submitting an online form, you may opt in to SMS communications by checking the SMS consent checkbox. The checkbox is optional – you can submit the form without checking it if you do not wish to receive SMS messages.

Text Us First (Optional Method)

If you text PixiKwik at 310-683-0404, you automatically agree to receive text messages from PixiKwik. When you initiate contact via text, you acknowledge the following:

  • “By texting PixiKwik at 310-683-0404, you agree to receive vendor partnership and appointment messages from PixiKwik. Reply STOP to opt-out; Reply HELP for support; Message and data rates may apply; Messaging frequency may vary. Visit our Privacy Policy at https://www.pixikwik.info/privacy-policy and SMS Terms at https://www.pixikwik.info/terms-and-condition”

16. Opt-Out Method

You can opt out of receiving SMS messages from PixiKwik at any time by:

  • Replying STOP to any SMS message you receive from PixiKwik – You will receive a confirmation that you have been unsubscribed
  • Contacting PixiKwik directly at legal@pixikwik.net to request removal from the messaging list
  • Calling PixiKwik support at 310-683-0404

17. Help & Support

If you have issues with SMS messages or need assistance, you can:

  • Reply HELP to any SMS message from PixiKwik for immediate assistance

18. Standard Messaging Disclosures

All SMS messages sent by PixiKwik include the following standard disclosures:

  • Message and data rates may apply
  • Opt out at any time by texting STOP
  • Text HELP for assistance
  • Message frequency may vary

19. Opt-In Verification Methods

Checkbox Verification

If you opt in via online form checkbox, the checkbox must be optional. The checkbox language is: “By checking this box, I consent to receive text messages related to vendor partnerships and PixiKwik updates from PixiKwik. You can reply STOP at any time to opt-out. Message and data rates may apply. Visit our Privacy Policy (https://www.pixikwik.info/privacy-policy) and SMS T&C (https://www.pixikwik.info/terms-and-condition).”

Text Us First Disclaimer

If using the “text us first” method, the following disclaimer is displayed: “Text us at 310-683-0404 to reach PixiKwik about vendor partnerships. By texting, you agree to receive messages from PixiKwik. Reply STOP to opt-out; Reply HELP for support; Message and data rates may apply; Messaging frequency may vary. Visit our Privacy Policy (https://www.pixikwik.info/privacy-policy) and SMS Terms (https://www.pixikwik.info/terms-and-condition).”

20. Your Rights & Responsibilities

By opting in to SMS communications, you confirm that:

  • You own or have permission to use the phone number provided
  • You are 18 years of age or older
  • You understand and accept that message and data rates may apply
  • Your phone number and consent will not be shared with third parties for marketing

21. Data Protection & Privacy

PixiKwik is committed to protecting your personal information collected through SMS communications.

Your phone number:

  • Will NOT be shared with third parties or affiliates for marketing purposes
  • Is used exclusively for SMS communications from PixiKwik
  • Is stored securely and protected by encryption
  • Will be deleted upon request or opt-out (except where required by law)

22. TCPA Compliance

PixiKwik complies with the Telephone Consumer Protection Act (TCPA) and other applicable telecommunications regulations. We:

  • Obtain prior express written or verbal consent before sending SMS messages
  • Maintain records of all consent dates and methods
  • Include opt-out instructions in every message
  • Honor opt-out requests within 24 hours

23. Changes to Terms & Conditions

PixiKwik may update these Terms & Conditions periodically. We will notify you of material changes via email or prominent notice on the Platform. Your continued use of PixiKwik services following such updates constitutes acceptance of the revised terms.
