TERMS & CONDITIONS

Welcome to PixiKwik, Inc. (“PixiKwik,” “we,” “our,” or “us”). By registering as a Vendor on the PixiKwik Platform and Vendor App, you (“Vendor,” “you,” or “your”) agree to comply with the following Terms & Conditions.
1. Eligibility & Compliance
Vendors must:
- Operate a legally registered business in the United States.
- Maintain all required business licenses, seller’s permits, tax registrations, and insurance.
- Submit accurate and truthful information during onboarding.
- Comply with all federal, state, and local laws.
PixiKwik may verify information and approve or deny Vendor applications at its discretion.
2. Products & Inventory
Vendors must:
- Maintain accurate, real-time inventory listings.
- Ensure all products are authentic, safe, unexpired, and eligible for sale.
- Remove discontinued, recalled, or unavailable products immediately.
- Maintain accurate pricing and descriptions.
PixiKwik is not liable for vendor product quality or safety issues.
3. Order Fulfillment
Vendors agree to:
- Accept and prepare orders promptly during posted business hours.
- Package all items securely to avoid damage, spills, contamination, or tampering.
- Cooperate with PixiKwik and authorized Logistics Partners regarding order issues.
Repeated fulfillment issues may result in suspension or removal.
4. Delivery & Logistics
- Delivery is performed by authorized PixiKwik Logistics Partners.
- Orders must be released only to authorized logistics personnel.
- Pickup confirmations must be completed inside the Vendor App.
- Delivery fees are paid by customers and are non-refundable.
5. Cancellations, Returns & Refunds
Refund scenarios include:
A. Damaged Items
- Customer refunded full product cost
- Vendor reimburses PixiKwik for product cost
- PixiKwik absorbs pickup fee
- Stripe/platform fees are non-refundable
B. Unopened / Unused Returns
- Customer refunded product cost only
- Delivery fees non-refundable
- Vendor reimburses PixiKwik for product cost
C. Vendor Error
(incorrect item, missing items, wrong quantity, mis-picks)
Vendor reimburses PixiKwik for:
- Product cost
- Outbound delivery fee
- Return / pickup fee
D. Tampered Packaging & Failure to Deliver the Correct Order
If packaging is damaged, unsealed, improperly secured, contaminated, or appears tampered with — or the Vendor fails to provide the correct order — the Vendor is responsible for all additional logistics costs, including:
- Driver handling fees
- Supplemental pickup / return fees
- Re-delivery fees
- Any operational charges caused by Vendor negligence
All associated fees will be deducted from Vendor payouts.
6. Vendor Conduct
Vendors may not:
- Circumvent PixiKwik by diverting customers to direct/off-app sales
- Manipulate pricing, reviews, or inventory
- Share confidential platform information
- Engage in fraudulent or harmful behavior
7. Payments & Fees
- Payments are issued via Stripe Connect (Express Accounts)
- Vendors must complete Stripe onboarding to receive payouts
- PixiKwik retains a platform commission per order
Pilot Program (Nov 2025 – Jan 1, 2026)
- 0% commission for approved pilot Vendors
Standard Commission (Effective Jan 1, 2026)
PixiKwik’s standard commission rate is 15% per order, unless PixiKwik issues a written promotional offer or temporary commission adjustment.
All promotional offers are time-limited and automatically revert back to the standard 15% when the promotional period ends.
This rate remains substantially lower than delivery platforms such as DoorDash, Uber Eats, and Instacart (25%–35%+).
PixiKwik’s retained platform fee is non-refundable.
8. Data & Privacy
PixiKwik collects operational and transactional data to facilitate orders, improve performance, strengthen Vendor tools, and support analytics.
PixiKwik may use aggregated, anonymized data for:
- Industry insights
- Trend analysis
- AI training
- Market research
- Strategic or commercial partnerships
Anonymized data is not tied to any individual. PixiKwik does not sell personally identifiable information.
9. Termination
Vendor access may be suspended or terminated for:
- Violations of these Terms
- Fraudulent or harmful conduct
- Repeated operational issues
- Non-compliance with refund logic
Vendors may close their accounts at any time.
10. Updates
Terms may be updated periodically. Continued use of the Platform constitutes acceptance.
